GENERAL TERMS AND CONDITIONS of bilstein group
Definitions:
Keiretsu Germany GmbH: Legal owner of the products published on merch.bilsteingroup.com
Keiretsu Germany GmbH: Supplier of bilstein group merchandising shop, managing merch.bilsteingroup.com on behalf of bilstein group and responsible for delivering the items
Buyer: Customer or any person who enters into or wishes to enter into an agreement with Keiretsu Germany GmbH, or for whom Keiretsu Germany GmbH prepares an offer or supplies goods or services, including legal successors or beneficiaries
merch.bilsteingroup.com: A dedicated online shop environment where the buyer can view and order bilstein group merchandise
Article 1. Scope
1.1 These general terms and conditions apply to all offers and agreements between Keiretsu Germany GmbH and the buyer, regardless of their nature, as well as to all obligations arising from them. Deviations must be agreed in writing with Keiretsu Germany GmbH.
1.2 Even if Keiretsu Germany GmbH does not always insist on strict compliance with these conditions, this does not mean that they do not apply or that Keiretsu Germany GmbH waives its right to enforce them in the future.
1.3 If any provision of these conditions is invalid or unenforceable, the remaining provisions shall remain in full force and effect.
1.4 The buyer’s purchasing conditions are only binding on Keiretsu Germany GmbH if they have been accepted in writing.
Article 2. Offers
2.1 All offers from Keiretsu Germany GmbH are based on the description of the offered products and/or services.
2.2 An offer is only binding if it is made in writing and contains an acceptance period.
2.3 Offers on merch.bilsteingroup.com are valid while stocks last or until the specified date.
2.4 Keiretsu Germany GmbH reserves the right to attach conditions to the execution of orders.
Article 3. Agreement
3.1 The agreement is concluded as soon as the buyer accepts the offer and meets the conditions.
3.2 In the case of electronic acceptance, Keiretsu Germany GmbH shall confirm receipt without delay.
3.3 Keiretsu may, within the legal framework, assess the buyer’s creditworthiness.
3.4 Amendments are only valid if confirmed in writing.
3.5 Keiretsu Germany GmbH may engage third parties to perform the agreement.
Article 4. Prices
4.1 All prices are stated in euros, including German VAT and excluding shipping costs. For cross-border deliveries within the EU, the applicable VAT rate may vary depending on the destination country. Therefore, the final price displayed at checkout may differ from the product price shown on the website.
4.2 Prices may change.
4.3 Keiretsu Germany GmbH is not obliged to honor incorrectly stated prices.
Article 5. Complaints regarding defects and damages
5.1 The buyer may return defective or damaged goods free of charge within 8 working days.
5.2 Returns must be announced by email.
5.3 Products must be returned in their original packaging.
5.4 Returns must include the invoice.
5.5 Keiretsu Germany GmbH decides on repair or replacement.
5.6 Payment obligations remain in force.
Article 6. Other complaints
6.1 Returns are possible within 7 working days.
6.2 Goods must be unused and in original packaging.
6.3 Damage may lead to deductions.
6.4 Shipping costs will not be refunded.
6.5 Changes are possible within 8 days.
6.6 Keiretsu decides on the solution.
6.7 Payment obligations remain in force.
Article 7. Payment
7.1 Payment is made monthly via the finance department.
Article 8. Retention of title
8.1 Goods remain the property of Keiretsu Germany GmbH until full payment has been made.
8.2 The buyer may not pledge the goods.
8.3 Keiretsu may reclaim unpaid goods.
Article 9. Delivery time
9.1 Delivery takes place within 3 working days.
9.2 Delivery times are non-binding.
9.3 Delays do not entitle the buyer to compensation.
9.4 Cancellations must be made in writing.
Article 10. Delivery
10.1 Risk passes to the buyer upon delivery.
10.2 Partial deliveries are permitted.
10.3 Storage is at the buyer’s risk.
Article 11. Transport
11.1 Shipment is at the buyer’s risk.
Article 12. Force majeure
12.1 In cases of force majeure, Keiretsu may suspend or terminate the agreement.
12.2 Force majeure includes, among others, strikes, transport issues, fire, and governmental measures.
Article 13. Warranty
13.1 Warranty covers material and manufacturing defects.
13.2 No warranty applies in case of improper use.
13.3 Warranty period: 12 months.
13.4 No further claims.
13.5 Supplier warranties may take precedence where applicable.
13.6 Repairs not covered will be charged.
13.7 Returns are at the buyer’s expense.
Article 14. Liability
14.1 No liability except in cases of intent or gross negligence.
14.2 No liability for employees or third parties, except in cases of gross negligence.
14.3 No liability in case of incorrect use.
14.4 The buyer indemnifies Keiretsu against third-party claims.
14.5 Liability is limited to the invoice amount.
Article 15. Termination/Dissolution
15.1 The buyer is in default in case of non-payment or breach of contract.
15.2 Keiretsu may terminate the agreement or demand payment.
15.3 Provisions remain valid after termination.
Article 16. General
16.1 Rights and obligations are not transferable.
Article 17. Applicable law and disputes
17.1 The law of the Federal Republic of Germany applies.
17.2 The place of jurisdiction is Düsseldorf or the buyer’s place of residence.
17.3 Keiretsu may amend the conditions.
